Please read these Terms and Conditions carefully before using our website, applications, avatars, content, and interactive services (collectively, the “Website” or “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).
We may change these Terms at any time, at our sole discretion. Your continued use of the Services means you accept any updated Terms.


‍1. Interpretation and Definitions
Interpretation
Words with initial capital letters have meanings defined in the “Definitions” section below. The same definitions apply whether used in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
“Account” means a unique profile created for You to access certain parts of the Website or paid subscription content.
“Affiliate” means any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of voting securities or equivalent decision-making authority.
“Company,” “ELXR,” “we,” “us,” or “our” refers to [ELXR INC., a [Delaware] corporation, located at [Company Address]].
“Content” means any text, audio, video, avatar output, advice, educational material, transcripts, features, images, or other information available on or generated by the Website, including AI-generated responses from ELXR “Mentors.”
“Device” means any device that can access the Website (computer, phone, tablet, etc.).
“Feedback” means suggestions, ideas, improvements, or comments submitted by You about the Website, Services, or features.
“Goods” means any physical or digital products made available for purchase on the Website, including memberships, courses, access passes, and subscriptions.
“Order” means a request by You to purchase Goods from Us.
“Promotions” means contests, free trials, referral programs, coupon codes, bundled pricing, discounted memberships, or any marketing/incentive program we may offer.
“Subscription” means a paid, auto-renewing membership plan that grants You access to certain features or Content.
“Terms and Conditions” or “Terms” means this agreement between You and ELXR.
“Third-Party Service” or “Third-Party Social Media Service” means any website, platform, payment processor, distribution channel, or content source not owned or controlled by ELXR that appears in, is linked from, or integrates with the Website.
“Website” means the ELXR websites, mobile experiences, voice/chat/AI avatar interfaces, and any subdomains or landing pages, including without limitation [https://www.elxr.ai] and any “Ask ELXR” or “Mentor” chat surfaces.
“You” or “Your” means the individual accessing or using the Website, or the company/organization on whose behalf such individual accesses or uses the Website (if applicable).2. Acknowledgment
These Terms govern Your use of the Website and form a binding agreement between You and ELXR. By using the Website or creating an Account, You agree to comply with these Terms. If You do not agree with these Terms, do not use the Website.
By using the Website, You confirm that You are:At least 18 years old (or the age of majority in Your jurisdiction), orAn emancipated minor, orUsing the Website with the consent and supervision of a parent or legal guardian who agrees to these Terms on Your behalf.
You also agree that:You are fully able and competent to enter into and comply with these Terms.You will use the Website only as permitted under applicable law.
Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use, and protect your information. You must read the Privacy Policy before using the Website.3. Access to the Website
We may require You to register or provide certain information in order to access parts of the Website, including paid areas. You agree that all information You provide is true, accurate, complete, and up to date.
If ELXR believes the information You provide is false, misleading, incomplete, or used fraudulently, we may suspend or terminate Your access at any time, without notice.
You agree not to:Interfere with or damage the Website or Content.Attempt to access Content You are not authorized to access.Use automated tools (bots, scrapers, etc.) without written permission.Use the Website in a way that interferes with other users’ enjoyment of the Website.4. Restrictions on Use
The Website is provided for Your personal, non-commercial use. You may not use the Website for any commercial purpose without our express written consent. Examples of prohibited conduct include (but are not limited to):Republishing or reselling paid ELXR content or AI avatar output.Copying or imitating the likeness, name, or voice of any ELXR Mentor (human or AI) for commercial use.Framing, embedding, co-branding, or deep-linking the Website in a way that suggests partnership or endorsement without written approval.
You agree to immediately stop any unauthorized use if we request it.5. Subscriptions, Billing, and Auto-Renewal


5.1 Subscription Plans
Some parts of the Website require payment. Examples include:Basic access: limited access to one Mentor / one area of content.Premium access: full access to multiple Mentors, topics, content libraries, and advanced features.Trials (e.g. “24-hour trial,” “7-day trial,” etc.).
The specific features, pricing, and length of each Subscription tier are shown at checkout or in your account dashboard. Those details are part of these Terms.


5.2 Free Trials
We may offer a free trial or trial period at a reduced cost.If You do not cancel before the end of the trial period, You authorize ELXR to automatically begin billing You for the full Subscription at the then-current rate using the payment method You provided.We are not obligated to notify You when Your free trial is ending.


5.3 Recurring Billing
By starting a Subscription, You authorize ELXR (and our payment processors) to charge the payment method on file automatically:Monthly, if You chose a monthly plan.Annually, if You chose an annual plan.At any other interval disclosed at sign-up.
Your Subscription will renew automatically at the end of each billing cycle unless You cancel in accordance with Section 5.4 (“How to Cancel”).


5.4 How to Cancel
You may cancel Your Subscription at any time, effective at the end of Your current billing period, by following the cancellation instructions in Your account settings or by contacting [support@elxr.ai].
Important:Canceling stops future renewals.Canceling does not automatically generate a refund for the current billing period unless required by law or covered in our Refund Policy.If You cancel during a trial period, cancellation must be completed before the trial ends to avoid being charged.


5.5 Failed / Declined Payments
If a recurring payment fails:We may attempt to charge Your payment method again for a limited period (for example, within 7 days).We may suspend or remove Your access to paid features until payment is successfully collected.If payment cannot be collected after reasonable attempts, ELXR may cancel Your Subscription. ELXR is not required to continue attempting to collect payment.
For installment plans (fixed number of payments for a specific product), if a payment fails, ELXR may immediately suspend access to that product and continue attempting to collect the unpaid installments.


5.6 Price Changes
We may change pricing for Subscriptions at any time. If we do, new pricing will apply to the next billing cycle after notice to You (for example, by email or in-app notice).If You do not agree to the price change, You must cancel before the next renewal.6.

Refunds
Refund and cancellation rights are governed by our Refund Policy, which is incorporated by reference into these Terms. Please review the Refund Policy before purchasing. By subscribing, You acknowledge that certain plans or trials may be non-refundable except where required by law.7. Orders for Goods (If Offered)
If You purchase Goods (physical or digital products, courses, passes, etc.) outside of Subscription access:You represent that You have the legal right to use the payment method provided.You agree that all information provided for billing/shipping is accurate and current.We reserve the right to refuse or cancel any Order for reasons including (but not limited to) suspected fraud, errors in pricing, product availability, or violation of these Terms.
We do our best to keep information about products accurate and current, but we do not guarantee that product descriptions, availability, or pricing are always error-free.8. User Accounts and Security
When You create an Account:You must provide accurate, complete information.You are solely responsible for keeping Your password and login secure.You agree not to share Your login with others or allow others to access Your paid Subscription using Your credentials.
If we believe Your Account is being misused, we may suspend or terminate access.
We reserve the right to cooperate with law enforcement regarding any suspected illegal activity.9. Health, Wellness, and

Safety Disclaimer
ELXR provides wellness information, mindset guidance, lifestyle education, and access to AI-driven “Mentors.” This includes discussions about topics such as grief, stress, sleep, psychedelics, longevity, sexuality, and mental well-being.
Very important:ELXR does not provide medical care, diagnosis, treatment, therapy, or professional counseling.ELXR is not a healthcare provider or mental health provider.Nothing you receive through ELXR — including AI avatar responses, voice responses, text, video, or any recommendations — should be considered medical, psychological, psychiatric, financial, or legal advice.
Always seek the advice of a qualified professional with any questions about:Physical or mental healthMedication or supplementsSubstance use / psychedelics / contraindicationsTrauma processingUrgent emotional distressLegal or financial decisions
Never delay or ignore professional advice because of something You saw or heard on ELXR. Use ELXR at Your own risk.
If You are in crisis or think You may harm yourself or others, call your local emergency number immediately.10. Intellectual

Property
All content on the Website — including video avatars, voices, likenesses, prompts, UI, code, educational material, designs, trademarks, brand elements, product names, layout, compilations, and “Mentor” personalities — is owned by ELXR or licensed to ELXR. It is protected by copyright, trademark, and other intellectual property laws.
You may not:Copy, reproduce, distribute, publish, or create derivative works from ELXR Content without written permission.Clone or commercially reuse the likeness, name, story, presence, personality, voiceprint, or style of any ELXR Mentor (human or AI).Claim to be, impersonate, or “white label” an ELXR Mentor.
You do not gain any ownership rights by using the Website.
You may view, for your own personal and non-commercial use, Content you have access to under your current Subscription. That’s it.11. Your Submissions & Feedback
When You submit content to ELXR (questions, testimonials, voice notes, uploads, text prompts, story shares, etc.):You confirm You have the right to share it.You grant ELXR a royalty-free, worldwide, perpetual, irrevocable license to use, store, reproduce, adapt, display, transform, and create derivative works from that content for the purpose of operating, improving, and promoting the Services, including training and tuning AI models and knowledge bases (subject to our Privacy Policy and any applicable opt-outs we offer).
We do not treat general submissions or feedback as confidential unless we explicitly say so.
You are solely responsible for what You submit.
You may not upload or transmit content that is illegal, harmful, threatening, harassing, defamatory, hateful, exploitative, pornographic, spam, malware, or that infringes any party’s rights.
We may remove or restrict any content at any time, for any reason.12. Third-Party Services and Links
The Website may link to, embed, or rely on Third-Party Services (for example: payment processors, video hosting, calendar booking, social media, AI infrastructure, or external reference material).
We do not control Third-Party Services and are not responsible for:Their contentTheir policiesTheir securityTheir availabilityHow they handle your data
Your use of any Third-Party Service is at Your own risk and subject to that service’s terms and privacy policy.13. Technology,

Downloading, and Security
We do not guarantee that files or code available through the Website will be free of viruses, malware, or other harmful components. You are responsible for using up-to-date security measures and backups.
We do not guarantee continuous, uninterrupted, or error-free access to the Website.14. Disclaimers (No Warranties)
THE WEBSITE, THE “MENTORS,” AND ALL CONTENT (INCLUDING AI-GENERATED RESPONSES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND — EXPRESS OR IMPLIED — INCLUDING, WITHOUT LIMITATION:MERCHANTABILITYFITNESS FOR A PARTICULAR PURPOSENON-INFRINGEMENTACCURACY, COMPLETENESS, OR RELIABILITYAVAILABILITY OR UPTIMESUITABILITY FOR MEDICAL, MENTAL HEALTH, LEGAL, OR FINANCIAL DECISION-MAKING
We do not guarantee results. We do not guarantee improvements to physical health, mental health, relationships, longevity, fitness, sleep, stress, grief, or any other outcome.
Some jurisdictions do not allow certain warranty limitations. Where prohibited, those limitations may not apply to You. In all other cases, they apply to the maximum extent allowed by law.15. Limitation of Liability
To the fullest extent allowed by law:
IN NO EVENT WILL ELXR, ITS FOUNDERS, OFFICERS, EMPLOYEES, ADVISORS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) LOSS OF REVENUE, LOSS OF PROFITS, EMOTIONAL DISTRESS, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH:YOUR ACCESS TO OR USE OF THE WEBSITEANY CONTENT OR ADVICE PROVIDED THROUGH THE WEBSITEANY ACTION YOU TAKE OR DO NOT TAKE BASED ON THAT CONTENTANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATAANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE WEBSITE
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100 USD), OR (B) THE TOTAL AMOUNT YOU PAID TO ELXR FOR SUBSCRIPTION ACCESS IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability. Where prohibited, those limitations may not apply to You.16. Indemnification
You agree to indemnify, defend, and hold harmless ELXR and its Affiliates, licensors, founders, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:Your use of the Website;Your violation of these Terms;Your violation of any law or third-party right;Any content or data You submit to ELXR.17. Termination and Suspension
We may suspend or terminate Your Account or access to the Website at any time, with or without notice, for any reason, including but not limited to:Violation of these Terms;Fraud or suspected fraud;Abusive or harmful behavior toward staff, partners, or other users;Unauthorized sharing of paid content.
If we terminate You for violating these Terms, You are not entitled to a refund.
You may stop using the Website at any time and, if desired, cancel Your Subscription under Section 5.4.
Termination does not affect any rights or obligations that existed before termination (for example: owed fees, IP ownership, disclaimers, and liability limits all survive termination).18. Dispute Resolution, Governing Law, and Class Action Waiver
These Terms are governed by the laws of the State of California, without regard to conflict of law rules.
To the fullest extent allowed by law:You agree that any dispute, claim, or controversy arising out of or relating to these Terms or Your use of the Website will be brought on an individual basis.You waive the right to participate in a class action, class arbitration, private attorney general action, or any other representative proceeding against ELXR.
If any portion of this Class Action Waiver is found unenforceable, that portion will be severed, and the remainder will still apply.
For EU/EEA users: You may have mandatory consumer protections under the laws of your country of residence; those protections remain in effect.19. Compliance and Eligibility
By using the Website, You represent and warrant that:You are not located in a country embargoed by the United States.You are not on any U.S. government list of restricted or prohibited parties.20. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full force and effect.21. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Subscription terms shown at checkout, and any other legally posted notices or disclosures on the Website, form the entire agreement between You and ELXR regarding Your use of the Website.
They supersede any prior or contemporaneous agreements, proposals, or communications — written or oral — between You and ELXR relating to the Website.22. Changes to These Terms
We may update these Terms at any time. The “Last updated” line at the top will change when we do. The updated Terms become effective immediately when posted.
If You continue to use the Website after changes are posted, You agree to the revised Terms.
If You do not agree with the revised Terms, You must stop using the Website and cancel any active Subscription, per Section 5.4.23.
